Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of LLMBuddy's website at llmbuddy.in and any services we provide ("Services"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

These Terms constitute a legally binding agreement between you ("Client", "you") and LLMBuddy Technologies ("LLMBuddy", "we", "us").

2. Services

LLMBuddy provides AI search visibility services including but not limited to:

• AI Visibility Audits - analysis of your brand's presence across AI platforms
• Generative Engine Optimization (GEO) - optimizing content for AI discovery
• ChatGPT and AI Search Optimization - improving AI recommendation frequency
• AI Visibility Monitoring - tracking brand mentions across AI platforms
• AI Content Optimization - creating AI-readable, citable content

The specific scope, deliverables, timeline, and pricing for your engagement are defined in a separate Statement of Work (SOW) or Proposal document agreed between the parties.

3. Eligibility

You must be at least 18 years old and have authority to enter into contracts on behalf of your organization to use our Services. By using our Services, you represent that you meet these requirements.

4. Payment Terms

• Invoicing: Invoices are issued at the start of each billing period or upon milestone completion as agreed in your SOW.
• Payment: Payment is due within 14 days of invoice date unless otherwise agreed in writing.
• Late payments: Invoices unpaid after 30 days may incur a 1.5% monthly late fee. We reserve the right to pause Services until payment is received.
• Refunds: One-time audit fees are non-refundable once the audit has commenced. Monthly retainer fees are non-refundable for the current billing period. Unused prepaid months may be refunded on a pro-rata basis at our discretion.
• Currency: All prices are in Indian Rupees (INR) unless otherwise specified.

5. Client Obligations

To allow us to deliver effective Services, you agree to:

• Provide accurate, complete, and up-to-date information about your brand, competitors, and goals
• Grant reasonable access to relevant accounts, analytics, and content as needed for the engagement
• Designate a point of contact who can approve deliverables and provide feedback in a timely manner
• Not engage any other vendor in a directly conflicting AI SEO engagement during a Growth or Enterprise retainer without prior written agreement

6. Intellectual Property

• Your content: You retain all ownership of your brand assets, existing content, and materials you provide to us.
• Our deliverables: Upon full payment, you own all strategy documents, content, and reports created specifically for you under your engagement.
• Our methodology: LLMBuddy's proprietary processes, frameworks, tooling, and general methodology remain our intellectual property at all times. No engagement grants a license to reproduce or resell our methodology.
• Case study rights: We may reference your brand as a client and publish anonymized performance data unless you request otherwise in writing.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement ("Confidential Information"). This obligation survives termination of the engagement by 3 years. Confidential Information does not include information that is publicly available, independently developed, or disclosed with prior written consent.

8. No Guarantees

AI platforms (ChatGPT, Gemini, Perplexity, Claude, etc.) are operated by third parties and their recommendation algorithms change frequently and without notice. LLMBuddy does not guarantee:

• That your brand will appear in any specific AI response
• Any specific increase in AI mentions, visibility score, or inbound leads
• That improvements achieved will be permanent

We guarantee a systematic, data-driven approach based on best available knowledge of how AI models select and recommend content. Results described in case studies represent client-specific outcomes and are not a promise of identical results.

9. Limitation of Liability

To the maximum extent permitted by applicable law, LLMBuddy's total liability to you for any claims arising from these Terms or our Services shall not exceed the total fees paid by you in the 3 months preceding the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, business interruption, or data loss.

10. Termination

• By you: You may terminate a monthly retainer with 30 days written notice. One-time projects may not be cancelled once commenced.
• By us: We may terminate or suspend Services immediately if you breach these Terms, fail to pay, or engage in activity that is unlawful or harmful to our reputation.
• Effect of termination: Upon termination, all outstanding fees become immediately due. We will deliver any completed work product up to the termination date.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved by good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Bangalore, India.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of our Services after the effective date constitutes acceptance of the updated Terms.
